1. About these terms
These terms govern all services provided by Creative Cat LLC (“we”, “us”) to business clients (“you”). By approving a quote, paying an invoice or otherwise asking us to start work, you accept these terms. We work with businesses only, not with consumers.
2. What we do
We produce ad creative for Meta, TikTok and other paid social channels: video ads (including animated and AI-generated UGC-style videos), image ad sets, brand films and creative research. Our services and prices are listed on our Pricing and Quote pages. The scope of every project is confirmed in writing (by email or on the invoice) before work begins.
3. How a project works
We work step by step, and nothing moves to the next stage without your written approval:
- Stage 1: written concepts. We propose the concepts in writing and you approve the ones to develop.
- Stage 2: full scripts. We write the full scripts for the approved concepts and you approve them.
- Stage 3: storyboards. We prepare storyboards and you approve them.
- Stage 4: production and delivery. We produce the finished ads from the approved storyboards and deliver them to you.
If you bring your own brief (concept, script or storyboard), the stages you have already supplied are skipped.
4. Prices and payment
Prices are in US dollars, as listed on our website or as quoted in writing. Unless we agree otherwise in writing, a project is paid in two parts: a 50% deposit before work starts and a 50% balance on delivery of the finished ads. We send an invoice by email with a secure payment link. You can pay by bank transfer, by credit card (through the payment link) or through Upwork escrow. The due date is shown on each invoice. Work starts once the deposit is received.
5. Delivery times
Typical delivery times are listed on our Pricing page (currently 2 to 4 days for a la carte ads, 5 days for creative research and 10 days for the Full Creative System). They count from receipt of the deposit and of any materials we need from you. Late approvals or late materials extend the timeline accordingly.
6. Revisions and corrections
Each package includes the number of revision rounds listed on our Pricing page (currently 2 rounds for a la carte ads and the Full Creative System, and 1 round for creative research). A revision round covers changes you request to the finished work. Further changes beyond the included rounds are quoted separately before we start them.
Separately from revision rounds: if the delivered work does not match what you approved in the earlier stages (concept, script and storyboard), we correct it at no extra charge, as many times as needed, until it matches.
7. Cancellation and refunds
Cancellations and refunds are covered in our Refund and Cancellation Policy, which forms part of these terms.
8. Ownership and use of the work
Once you have paid in full, you own the final delivered ads and may use them in your marketing under your own name. We keep ownership of our working methods, templates and tools. Unless you ask us in writing not to, we may show the finished work in our portfolio and case studies.
You confirm that you have the right to use any materials you give us (logos, product images, footage, product claims and similar).
9. AI-assisted production
Some of our creative work uses AI-generated imagery, video and voice. We deliver what you approved in the storyboard stage. You are responsible for how the ads are used, including complying with the advertising policies of the platforms where you run them and with the law that applies to your product claims.
10. No guarantee of results
We produce creative. How an ad performs depends on many factors outside our control, such as your offer, product, targeting, budget, market and the ad platform itself. We do not guarantee sales, return on ad spend or any other specific result.
11. Confidentiality
We treat non-public information you share with us as confidential and use it only to deliver your project.
12. Limitation of liability
To the maximum extent permitted by law, our total liability arising out of a project is limited to the amount you paid us for that project, and we are not liable for indirect or consequential losses, including lost profits and wasted ad spend.
13. Governing law and disputes
These terms are governed by the laws of the State of Wyoming, USA. If a problem comes up, please write to phil@philgrabowski.com first. We will work with you in good faith to resolve it before either side takes any formal action.
14. Changes to these terms
We may update these terms from time to time. The version in effect on the day you approve a quote or pay an invoice applies to that project.
